Welcome to Verbalgerbil. These Terms of Service (the "Terms") are a binding agreement between you and the operator of Verbalgerbil ("Verbalgerbil," "we," "us") governing your use of the Verbalgerbil platform at myperfectcadence.com (the "Service"). By creating an account, accepting an invitation, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
Verbalgerbil was previously called Cadence. The operator, the Service and these Terms are unchanged by the name; the site is still reached at myperfectcadence.com, and some notices and text messages may still carry the former name until that changeover is complete.
Verbalgerbil is a software tool that helps independent coaches and their students organize scheduling, lesson notes, learning materials, messaging, and billing records. Verbalgerbil is not a party to the coaching relationship. Coaches are independent professionals, not our employees, agents, or contractors. We do not supervise, endorse, or guarantee any coach, student, lesson, or outcome. Any agreement about lessons, pricing, cancellations, or refunds is strictly between coach and student.
Verbalgerbil does not hold, transmit, or process funds. Where payment features are offered, payments flow directly between student and coach through third-party payment processors (such as Stripe) under the coach's own account; the coach is the merchant of record and solely responsible for pricing, taxes, invoices, refunds, and disputes. Verbalgerbil only displays billing information that coaches configure and record. Video calls likewise take place on third-party services (such as Zoom or Google Meet) under those services' own terms.
If a coach offers card-on-file or automatic billing, your payment details are collected and stored by the payment processor (Stripe) on the coach's account — Verbalgerbil never sees or stores your card number. Saving a card requires your explicit consent at the time you save it, and any charges follow the coach's posted pricing and cancellation policy. Questions about a specific charge go to your coach, who can also issue refunds through their processor.
You must be at least 18 years old to hold a Verbalgerbil account of any kind. Coach accounts are created by sign-up; student accounts are created by personal invitation from a coach. During the beta we do not create accounts for people under 18: someone who tells us, when accepting an invitation, that they are under 18 is not given an account. This is a restriction of the current beta. You are responsible for keeping your login credentials secure and for all activity under your account, and you agree to provide accurate information.
Coaches and students retain ownership of the content they add to the Service (notes, materials, messages, and similar). You grant us a limited license to host, store, display, and transmit that content solely to operate and improve the Service. You are responsible for having the rights to any content you upload and for what you share. A coach controls the records they keep about their students within their workspace.
Coaches and students can upload files (teaching materials, homework, recordings). Upload only content you have the right to share; do not upload content that is unlawful, infringing, or harmful. Uploaded files are stored with unguessable links but are not access-gated — treat anything uploaded as shareable with the other party. If you believe content on the Service infringes your copyright, send a notice with the material's location, your contact details, and a description of the work to bmilestharp@gmail.com; we will review and remove infringing material and may terminate repeat infringers' accounts.
Video calls hosted on Verbalgerbil can generate live transcripts and AI-drafted lesson notes to help the coach write recaps. By joining a video call hosted on Verbalgerbil, you consent to that call being transcribed and processed for these features, including by the third-party providers that power them (video infrastructure, speech-to-text, and AI drafting). If you do not consent, tell your coach before the lesson and use an alternative call method (such as Zoom or Google Meet) — calls held on another service are never transcribed by us. Coaches are responsible for telling their students that AI notes are in use and for complying with any recording-consent laws that apply where they and their students live. AI-drafted notes are suggestions reviewed and approved by the coach; they may contain errors and are not a verbatim record.
The Service sends transactional email — and, where you opt in, SMS text messages — such as lesson reminders and account notices. By providing a phone number and choosing SMS reminders in your notification preferences, you consent to receive automated text messages from us at that number. Message frequency varies with your lesson schedule; message and data rates may apply; consent is not a condition of using the Service. You can switch notification preferences in your Account settings at any time, or reply STOP to opt out of texts (HELP for help). Carriers are not liable for delayed or undelivered messages.
You agree not to misuse the Service — including to break the law, infringe others' rights, harass or harm anyone (especially minors), send spam, upload malicious code, scrape or reverse-engineer the Service, circumvent access controls, or use another person's account without permission. We may remove content or suspend or terminate accounts that violate these Terms or put other users at risk.
Verbalgerbil connects coaches and students in one-to-one interactions, and we expect respectful conduct from both sides — during lessons, in messages and lesson chat, and in any use of the Service. Do not harass, threaten, discriminate against, exploit, or solicit inappropriate contact with anyone, and do not record another person without their consent. Either party may report conduct concerns to the contact address in the Help Center; we review reports and may suspend or remove accounts at our discretion, including based on off-platform conduct that threatens the safety of users.
The Service is offered in an early-access (beta) form. Features may change, break, or be withdrawn, and data may occasionally be lost despite our efforts. The Service is provided on an "as is" and "as available" basis, and we do not promise uninterrupted or error-free operation. Please keep independent copies of anything you cannot afford to lose.
Verbalgerbil is currently free to use. If we later introduce paid plans, we will give reasonable advance notice and you will be able to stop using the Service before any charge applies.
You may stop using the Service and ask us to delete your account at any time by contacting us. We may suspend or terminate your access if you violate these Terms, create risk or legal exposure for us or other users, or if we discontinue the Service. Sections that by their nature should survive (including disclaimers, limitations of liability, and dispute terms) survive termination.
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We make no warranty about the quality, safety, legality, or results of any coaching obtained through the Service, or about the accuracy of any content users post.
To the fullest extent permitted by law: (a) we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill; (b) we are not liable for the conduct of any coach or student, on or off the Service, or for any dispute between them; and (c) our total aggregate liability for all claims relating to the Service is limited to the greater of the amounts you paid us for the Service in the twelve (12) months before the claim arose, or one hundred US dollars (US$100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you; in that case our liability is limited to the maximum extent permitted.
You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising out of your content, your use of the Service, your coaching or learning relationship with another user, or your violation of these Terms or of applicable law.

Otherwise, you and Verbalgerbil agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by a recognized arbitration provider under its consumer rules, rather than in court, except that either party may bring an individual claim in small-claims court or seek injunctive relief for intellectual-property misuse. You and Verbalgerbil each waive the right to a jury trial and to participate in a class action. You may opt out of this arbitration agreement by emailing bmilestharp@gmail.com within 30 days of first accepting these Terms. Where the law of your home jurisdiction (for example, in the European Union) grants you mandatory consumer protections or forum rights, nothing in this section takes those away.
These Terms are governed by the laws of the United States and the State of Michigan, without regard to conflict-of-law rules, except where the mandatory consumer law of your country of residence applies. Any arbitration or permitted court proceeding will take place in Michigan unless you and Verbalgerbil agree otherwise or applicable consumer law provides you a different venue.
We may update these Terms as the Service evolves. If a change is material, we will take reasonable steps to notify you (for example, a notice in the app or an email). Continuing to use the Service after a change takes effect means you accept the updated Terms.
